TERMS OF SERVICE
Last updated: July 14, 2026
These Terms of Service govern your use of grainwoods.com and your purchase of products from GRAINWOODS LLC.
Throughout these Terms, “GrainWoods,” “we,” “us,” and “our” refer to GRAINWOODS LLC. “You” and “your” refer to any visitor, customer, or other user of the website.
By accessing our website, creating an account, submitting personalization information, or placing an order, you agree to these Terms of Service and to the policies referenced in them.
Please read these Terms carefully before using the website or purchasing a product. If you do not agree with these Terms, you should not use the website or place an order.
1. ABOUT GRAINWOODS
The website grainwoods.com is operated by:
GRAINWOODS LLC
Company Registration Number: 4054373
3524 Silverside Rd, Ste 35B
Wilmington, DE 19810
United States

Our online store is hosted by Shopify, which provides the e-commerce platform used to display and sell our products.
2. ELIGIBILITY AND ONLINE STORE USE
By using this website or placing an order, you confirm that:
• you are at least the age of majority in your jurisdiction;
• you have the legal capacity to enter into a binding agreement;
• the information you provide is complete and accurate;
• you will not use the website or our products for an unlawful or unauthorized purpose.
A parent or legal guardian is responsible for any use of the website by a minor under their supervision.
You must not:
• introduce viruses, malware, or other harmful code;
• interfere with the operation or security of the website;
• attempt to gain unauthorized access to the website or another customer’s account;
• scrape, copy, or collect website data through unauthorized automated means;
• use the website to violate the rights of GrainWoods or any third party.
We may suspend or terminate access to the website if these Terms are violated.
3. PRODUCTS AND HANDCRAFTED CHARACTERISTICS
GrainWoods products are handcrafted from natural wood and may be made individually for each order.
Because wood is a natural material and our products are handcrafted:
• grain, color, tone, mineral streaks, knots, and patterns may vary;
• the finished product may not look identical to product photographs;
• minor variations between individual products may occur;
• no two boards will be exactly identical.
Natural wood variations are not defects.
We make reasonable efforts to display product photographs, dimensions, descriptions, and colors accurately. However, colors may appear differently depending on the customer’s screen, lighting, and display settings.
Product photographs may include decorative items that are not included with the purchase unless expressly stated in the product description.
4. PRODUCT AVAILABILITY
Products, options, sizes, designs, and materials are subject to availability.
We may:
• discontinue or modify a product;
• limit the quantity available for purchase;
• restrict sales to certain customers, regions, or jurisdictions;
• decline orders that appear to be intended for unauthorized resale;
• correct inventory or availability errors.
Adding a product to a cart does not reserve it or guarantee its availability.
5. PRICES, CURRENCY, AND TAXES
Product prices are displayed on the website and may change without notice.
The price charged for an order is the price displayed at checkout when the order is submitted, except in the case of an obvious pricing or technical error.
Prices may be displayed in different currencies depending on the customer’s location or selected market.
Applicable sales tax, VAT, shipping charges, Priority charges, or other fees will be displayed at checkout when required.
For international orders, customs duties, import taxes, brokerage fees, or local charges may apply as described in our Shipping Policy.
If a product is listed at an obviously incorrect price because of a technical, typographical, or administrative error, we may cancel the affected order and issue a full refund.
6. PAYMENT
Payment must be successfully authorized before an order is accepted.
Available payment methods are shown at checkout and may be processed by Shopify Payments or other third-party payment providers.
You agree to provide current, complete, and accurate billing and payment information.
You confirm that:
• you are authorized to use the selected payment method;
• the billing information provided is accurate;
• sufficient funds or credit are available to complete the transaction.
GrainWoods does not directly store complete payment card details. Payment processing is handled by authorized payment providers according to their own terms and privacy practices.
7. ORDER ACCEPTANCE
Submitting an order does not automatically mean that the order has been accepted.
An order is accepted when we send an order confirmation or begin production, subject to successful payment authorization and availability.
We may refuse or cancel an order for reasons including:
• unsuccessful or suspected fraudulent payment;
• incorrect pricing or product information;
• unavailable products or materials;
• incomplete personalization information;
• suspected unauthorized resale;
• unlawful or prohibited personalization content;
• inability to deliver to the provided address;
• violation of these Terms.
If we cancel an order after payment has been collected, we will refund the affected payment.
8. PERSONALIZATION INFORMATION
Customers are responsible for reviewing all personalization information before submitting an order.
This includes:
• names;
• initials;
• dates;
• spelling;
• capitalization;
• punctuation;
• engraving text;
• design selection;
• engraving placement;
• board size;
• selected options.
Unless otherwise stated, we produce the engraving using the information submitted with the order.
A year, date, symbol, or other element will only be included when submitted by the customer or clearly included in the selected design.
GrainWoods is not responsible for customer-submitted errors, including spelling mistakes, incorrect dates, incorrect capitalization, incorrect size selection, or incorrect design selection.
If you notice an error after placing an order, contact us immediately at info@grainwoods.com. We will make reasonable efforts to correct the information before production begins, but we cannot guarantee that changes will be possible.
9. CUSTOMER-SUBMITTED DESIGNS, LOGOS, AND CONTENT
If you submit a logo, image, design, phrase, trademark, photograph, or other material for personalization, you confirm that:
• you own the material or have permission to use it;
• its use does not infringe another person’s copyright, trademark, privacy, publicity, or other rights;
• it is not unlawful, fraudulent, threatening, hateful, defamatory, obscene, or otherwise prohibited.
You grant GrainWoods a limited, non-exclusive license to use the submitted material solely to:
• review the personalization request;
• prepare a proof where applicable;
• manufacture the ordered product;
• provide customer support;
• maintain reasonable production and order records.
You retain ownership of your submitted material.
You are responsible for claims arising from content you submit without the necessary rights or authorization.
We may refuse personalization content that we reasonably believe is unlawful, infringing, threatening, hateful, discriminatory, obscene, or otherwise inappropriate.
10. GRAINWOODS DESIGNS AND INTELLECTUAL PROPERTY
The website and its contents are owned by or licensed to GrainWoods, including:
• product designs;
• engraving layouts;
• graphics;
• photographs;
• videos;
• text;
• logos;
• trademarks;
• page layouts;
• downloadable materials;
• care guides;
• product descriptions.
These materials are protected by applicable intellectual property laws.
You may view and use the website for personal shopping purposes.
Without our prior written permission, you may not:
• copy or reproduce our engraving designs;
• manufacture or sell products using our designs;
• download and republish our product photographs;
• use our trademarks or branding;
• reproduce substantial portions of the website;
• use website content for commercial purposes;
• create derivative commercial products based on our protected designs.
Purchasing a GrainWoods product does not transfer ownership of our underlying designs, artwork, trademarks, or other intellectual property.
11. PROOFS AND DESIGN APPROVAL
For certain custom orders, we may provide a digital proof before production.
If a proof is provided:
• the customer is responsible for reviewing all text and design details;
• production may not begin until approval is received;
• approving the proof confirms acceptance of the displayed spelling, dates, design, and placement;
• delays in approval may delay production and delivery.
A digital proof is an approximate representation. The appearance of the finished engraving may vary slightly because of natural wood grain, color, surface characteristics, and the engraving process.
12. ORDER CHANGES AND CANCELLATIONS
To request a cancellation or change, contact us as soon as possible at:
info@grainwoods.com
We will make reasonable efforts to accommodate the request before production or engraving begins.
Because products are handcrafted to order, we cannot guarantee that an order can be canceled or changed after:
• materials have been prepared;
• production has begun;
• engraving has begun;
• the product has been shipped.
Submitting a request does not guarantee that the order can be changed or canceled.
Any cancellation rights required by applicable law remain unaffected.
13. CRAFTING AND DELIVERY
Standard crafting typically takes 7–10 business days after the order and all required personalization details have been received.
A faster Priority option may be available at checkout.
Estimated delivery dates may be displayed on the product page and at checkout. These dates are estimates based on the crafting time, destination, selected delivery option, and information supplied by the shipping carrier.
Delivery dates are not guaranteed.
After an order has been transferred to a carrier, the actual delivery date depends on the carrier and may be affected by weather, holidays, service disruptions, remote locations, customs processing, or other circumstances outside our reasonable control.
If we cannot ship an order within the timeframe stated when the order was placed, we will contact the customer and provide the options required by applicable law.
Complete shipping terms are available in our Shipping Policy:
https://grainwoods.com/policies/shipping-policy
14. RETURNS, REFUNDS, AND REPLACEMENTS
GrainWoods offers a voluntary 90-day return policy for eligible unused products, including personalized, engraved, made-to-order, and sale products.
Return conditions, shipping responsibilities, inspection requirements, refund processing, and exclusions are described in our Refund and Return Policy:
https://grainwoods.com/policies/refund-policy
If GrainWoods makes an engraving or production error, sends an incorrect product, or confirms a manufacturing defect or shipping damage, we will provide the resolution described in the Refund and Return Policy.
Nothing in these Terms limits mandatory consumer rights that cannot legally be excluded.
15. LOST OR UNDELIVERED SHIPMENTS
If an order is not delivered, contact GrainWoods so that we can investigate the shipment with the carrier.
If the carrier confirms that a shipment was lost, was not delivered, was misdelivered and cannot be recovered, or cannot otherwise be delivered, GrainWoods will make and send a replacement at no additional cost, subject to the conditions in our Shipping Policy.
Because replacement products are handcrafted and may be personalized, additional crafting time may be required.
16. PRODUCT CARE AND CUSTOMER RESPONSIBILITY
Customers are responsible for using and maintaining products according to the care instructions supplied with the product or published on the website.
Unless confirmed as a manufacturing defect, GrainWoods is not responsible for damage caused by:
• soaking the product;
• washing it in a dishwasher;
• prolonged exposure to water;
• improper drying;
• excessive heat;
• excessive dryness;
• failure to oil or maintain the board;
• dropping or impact;
• improper storage;
• unauthorized repair, modification, or refinishing;
• use inconsistent with the product’s intended purpose.
Normal knife marks, surface wear, changes in color, and other signs of ordinary use are not manufacturing defects.
17. REVIEWS, PHOTOGRAPHS, AND FEEDBACK
If you voluntarily submit a review, photograph, video, testimonial, feedback, or other public contribution through our website or an integrated review service, you confirm that:
• the contribution is truthful and based on your genuine experience;
• you have the right to submit it;
• it does not violate another person’s rights;
• it does not contain unlawful, threatening, defamatory, obscene, fraudulent, or misleading material.
You grant GrainWoods a non-exclusive, worldwide, royalty-free license to display, reproduce, resize, translate, and share the submitted contribution for website, customer-service, and promotional purposes, unless prohibited by applicable law.
We may remove content that violates these Terms, but we are not obligated to publish, monitor, or retain every submission.
We will not knowingly alter a review in a way that materially misrepresents the customer’s opinion.
18. THIRD-PARTY SERVICES AND LINKS
The website may use or link to third-party services, including:
• Shopify;
• payment processors;
• shipping carriers;
• analytics providers;
• advertising services;
• review platforms;
• customer-support tools;
• social media services.
Third-party websites and services are governed by their own terms and privacy policies.
GrainWoods does not control third-party websites and is not responsible for their content, security, availability, or independent practices.
A link to a third-party website does not necessarily mean that GrainWoods endorses all of its content or services.
19. PRIVACY
Our collection, use, disclosure, and protection of personal information are described in our Privacy Policy:
https://grainwoods.com/policies/privacy-policy
By using the website, you acknowledge that personal information may be processed as described in that policy.
20. WEBSITE AVAILABILITY
We do not guarantee that the website will always be uninterrupted, error-free, secure, or available.
We may:
• suspend the website for maintenance;
• change website features;
• correct errors;
• discontinue website functions;
• update product information;
• restrict access when reasonably necessary.
We will not be liable for temporary website unavailability except where liability cannot be excluded under applicable law.
21. ERRORS AND CORRECTIONS
The website may occasionally contain typographical errors, inaccurate descriptions, incorrect prices, outdated promotions, or other mistakes.
We may correct errors and update information at any time.
If an error materially affects an order already placed, we will contact the customer and provide an appropriate resolution, which may include confirming corrected information or canceling and refunding the affected order.
22. PROHIBITED USES
You may not use the website or its content:
• for an unlawful or fraudulent purpose;
• to violate any applicable law;
• to infringe intellectual property rights;
• to impersonate another person;
• to submit false or misleading information;
• to harass, threaten, defame, or discriminate against another person;
• to transmit malware or harmful code;
• to collect personal information without authorization;
• to spam, phish, scrape, or interfere with website security;
• to circumvent purchase limits or access restrictions;
• to place fraudulent orders or initiate abusive payment disputes.
We may restrict access, cancel affected orders, or take other reasonable action when prohibited activity is suspected.
23. DISCLAIMER OF WEBSITE WARRANTIES
To the fullest extent permitted by applicable law, the website and its online services are provided on an “as available” basis.
We do not guarantee that:
• the website will operate without interruption;
• all website errors will be corrected immediately;
• every feature will be available in every location;
• third-party services will always remain available.
This section applies to the website and online services. It does not limit our express product commitments, our Refund and Return Policy, our Shipping Policy, or any mandatory consumer guarantee that cannot legally be excluded.
24. LIMITATION OF LIABILITY
To the fullest extent permitted by law, GrainWoods will not be liable for indirect, incidental, special, punitive, or consequential losses arising from the use of the website or a product, including lost profits, lost revenue, lost data, or loss of business opportunity.
Where GrainWoods is legally liable in connection with an order, our aggregate liability will not exceed the amount paid for the affected product, except where applicable law requires otherwise.
Nothing in these Terms excludes or limits liability for:
• fraud or fraudulent misrepresentation;
• intentional misconduct;
• gross negligence where it cannot be limited;
• death or personal injury where liability cannot be excluded;
• mandatory product liability;
• non-waivable consumer rights;
• any other liability that cannot legally be excluded or limited.
25. RESPONSIBILITY FOR SUBMITTED CONTENT
You are responsible for personalization content, designs, logos, photographs, reviews, and other materials you submit.
To the extent permitted by law, you agree to reimburse GrainWoods for reasonable losses, liabilities, or costs resulting from a third-party claim that material submitted by you infringes that third party’s rights, provided that:
• the claim results directly from your submitted material;
• you did not have permission to use the material;
• GrainWoods used the material only to fulfill your request.
This section does not apply where the claim results from GrainWoods modifying or using the material beyond the permission granted by you.
26. ELECTRONIC COMMUNICATIONS
By using the website or placing an order, you agree that we may communicate with you electronically regarding:
• order confirmations;
• personalization questions;
• production updates;
• shipping notifications;
• customer-service requests;
• policy or account notices.
Transactional communications are necessary to process and support your order.
Marketing communications will be sent according to your choices and applicable law. You may unsubscribe from marketing emails using the link provided in those emails.
27. TERMINATION
You may stop using the website at any time.
We may suspend or terminate access to the website if we reasonably believe that you:
• violated these Terms;
• engaged in fraud or unlawful activity;
• interfered with website security;
• misused another person’s account;
• submitted prohibited content.
Termination does not affect rights or obligations that arose before termination, including payment obligations, intellectual property rights, and provisions intended to survive termination.
28. GOVERNING LAW
These Terms and any dispute relating to the website or an order are governed by the laws of the State of Delaware and applicable federal laws of the United States, without regard to conflict-of-law rules.
Unless applicable consumer law requires otherwise, legal proceedings relating to these Terms may be brought in the state or federal courts with jurisdiction in Delaware.
Nothing in this section deprives a consumer of mandatory protections or rights available under the laws of the consumer’s place of residence when those rights cannot legally be waived.
29. NO WAIVER
If GrainWoods does not immediately enforce a provision of these Terms, that does not mean that we waive the right to enforce it later.
A waiver is effective only when made expressly in writing.
30. SEVERABILITY
If any provision of these Terms is found to be unlawful, invalid, or unenforceable, that provision will be limited or removed only to the extent necessary.
The remaining provisions will continue in effect.
31. ENTIRE AGREEMENT
These Terms, together with the policies referenced in them, constitute the agreement between you and GrainWoods concerning your use of the website and purchase of products.
The incorporated policies include:
• Refund and Return Policy;
• Shipping Policy;
• Privacy Policy;
• any product-specific terms displayed before purchase.
If a product page or applicable policy contains a more specific term concerning an order, the more specific term will apply to that issue.
32. CHANGES TO THESE TERMS
We may update these Terms from time to time to reflect changes to:
• our products or services;
• website features;
• business practices;
• legal or regulatory requirements.
The current version and its effective date will be posted on this page.
Changes will not retroactively reduce rights relating to an order already placed unless required by law or expressly agreed with the customer.
Continued use of the website after updated Terms become effective constitutes acceptance of the revised Terms for future use and purchases.
